Terms of Service

These terms form a binding agreement between you and Listawok covering your access to and use of the Service. Please read them carefully. By creating an account or using the Service, you accept these terms. If you do not accept them, do not use the Service.

1. The Service

Listawok ("Listawok", "we", "us", "our") provides a software-as-a-service listing management and optimization platform for online sellers (the "Service"). The Service audits listings, produces suggested titles, tags and descriptions using artificial-intelligence models, provides keyword and market research, and presents analytics for shops you connect.

Listings are read from and written to a connected platform exclusively through that platform's official public API, under an authorization you grant through the platform's own OAuth flow. We may add, modify, suspend or discontinue features, in whole or in part, at any time.

2. Eligibility and your account

• You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract.
• If you use the Service on behalf of a company or other entity, you represent that you are authorized to bind that entity, and "you" refers to that entity.
• You must provide accurate account information and keep it current.
• You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly at support@listawok.com of any unauthorized use.
• Where you invite others to a shop, you are responsible for their use of the Service and for the role and permissions you grant them.

3. Independence from connected platforms

Listawok is an independent product. We are not a partner, affiliate, agent or representative of Etsy, Inc., Pinterest, Inc., or any other platform the Service integrates with, and integration through a public API does not imply endorsement, certification or sponsorship. The term 'Etsy' is a trademark of Etsy, Inc. This application uses the Etsy API but is not endorsed or certified by Etsy, Inc.

Your use of any connected platform is governed by your own agreement with that platform. We are not responsible for a connected platform's availability, policies, decisions, pricing or actions, including any suspension, restriction, penalty or removal that platform applies to your account or listings.

4. Your responsibilities

• You must own, or be authorized to manage, every shop and account you connect to the Service.
• You remain solely responsible for complying with the policies of each connected platform, including its seller policy, content and creativity standards, intellectual-property rules and listing guidelines, for every change you approve.
• You are responsible for the content you publish, including content derived from suggestions produced by the Service, and for ensuring that you hold the necessary rights in any text, image or other material you upload or publish.
• You must ensure that your use of the Service complies with all laws that apply to you, including consumer-protection, advertising, tax, export-control and data-protection laws.

5. Artificial-intelligence output

Features that generate content use third-party statistical models. You acknowledge and agree that:

• output is a draft suggestion, is generated automatically, is not reviewed by us before you see it, and may be inaccurate, incomplete, outdated, non-compliant with a platform's rules, or unsuitable for your purpose;
• nothing is published to a connected platform unless you review and explicitly approve it, and you are responsible for what you approve;
• similar or identical output may be generated for other users, and we make no representation that output is unique or that it is free of third-party rights; and
• output is not legal, tax, financial, business or professional advice.

As between you and us, and to the extent permitted by law, you retain rights in the content you provide and may use the output produced for your account, subject to these terms and to the terms of the applicable model provider.

6. Acceptable use

You may not, and may not permit anyone else to:

• use the Service to create spam, deceptive, misleading, infringing or unlawful content, or to generate bulk duplicate listings intended to manipulate a platform's search results;
• infringe or misappropriate the intellectual-property, privacy, publicity or other rights of any person;
• access or attempt to access another user's account, shop or data;
• probe, scan, disrupt, overload or circumvent the security, rate limits, entitlement checks or metering of the Service or of any connected platform;
• reverse engineer, decompile or attempt to derive the source code of the Service, except to the extent this restriction is prohibited by law;
• resell, sublicense, rent or provide the Service to third parties as a service bureau, or use the Service to build a competing product;
• use automated means to access the Service outside interfaces we provide for that purpose; or
• use the Service in a way that causes us or any connected platform to breach that platform's API terms, or that places our API access at risk.

We may investigate suspected violations and take any action we consider appropriate, including removing content, restricting features, and suspending or terminating accounts.

7. Plans, credits and payment

7.1 Plans

Current plans, their features and their prices are shown on the Pricing page and in the application. Paid plans are billed in advance on a recurring basis through our payment processor, beginning on the day you subscribe, and renew automatically for successive periods until cancelled. Prices are exclusive of taxes unless stated otherwise, and you are responsible for any applicable taxes.

7.2 Credits

Features that call artificial-intelligence models consume credits at the rates shown in the application. Credits are a prepaid entitlement to use those features. They have no cash value, are not a stored-value or payment instrument, and are not redeemable for money.

• A plan's monthly allowance is granted at the start of each billing period and, unless stated otherwise in the application, does not carry over when the period ends.
• Separately purchased credits remain available while your account is open and are consumed after the monthly allowance.
• A failed provider request is not charged to you.
• Credits consumed are not refundable, and unused credits are forfeited when an account is closed, except where a refund is required by law.

7.3 Changes, cancellation and refunds

You may cancel at any time; cancellation takes effect at the end of the current billing period, and you retain access until then. We may change prices or plan contents on notice given at least 30 days before the change takes effect for your next renewal; continuing to use a paid plan after that date constitutes acceptance. Except where required by law or expressly stated by us in writing, payments are non-refundable and we do not provide refunds or credits for partial periods, unused credits, or periods in which you did not use the Service.

If a payment fails, we may retry it, suspend paid features, or downgrade the account to a free plan after a short grace period shown in the application.

8. Your data and content

You retain all rights in the content and shop data you provide to or connect with the Service. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, display and process that content solely to the extent necessary to operate, secure and support the Service for you, and to perform the actions you request, including transmitting content to a connected platform or model provider as described in our Privacy Policy. This licence ends when the content is deleted, except for copies retained in routine backups for a limited period.

You may disconnect a shop at any time, which immediately removes our access to it. How we handle, retain and delete information is described in our Privacy Policy and Data Deletion pages.

We may use aggregated and de-identified data, which does not identify you, your account, your shop or any individual, to operate, analyse and improve the Service.

9. Our intellectual property

The Service, including its software, interfaces, design, text, graphics, logos and the Listawok name and marks, is owned by us or our licensors and is protected by intellectual-property laws. Subject to these terms and to payment of applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your own business purposes during your subscription. All rights not expressly granted are reserved.

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free right to use them without restriction or obligation to you.

10. Availability, beta features and support

We aim for high availability but do not guarantee that the Service will be uninterrupted, timely, secure or error-free. Availability depends on factors outside our control, including connected platform APIs, model providers, payment processors, network providers and scheduled or emergency maintenance.

Features identified as beta, preview or experimental are provided for evaluation, may be changed or withdrawn at any time, and are excluded from any availability or support commitment. Support is provided by email at support@listawok.com on a commercially reasonable basis.

11. Disclaimer of warranties

The service, including all content and output produced through it, is provided "as is" and "as available", without warranty of any kind. To the maximum extent permitted by law, we disclaim all warranties, express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranty arising from course of dealing or usage of trade.

Without limiting the above, we do not warrant that use of the Service will increase your sales, traffic, visibility, search ranking or revenue, that any suggestion will be accurate or compliant with a connected platform's rules, or that the Service will prevent any penalty, suspension or other action by a connected platform. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

12. Limitation of liability

To the maximum extent permitted by law, Listawok and its officers, employees, contractors and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, goodwill, business opportunity, sales, listings or data, arising out of or relating to these terms or the Service, whether based in contract, tort, negligence, strict liability or any other theory, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to these terms or the Service will not exceed the greater of the total amount you paid us in the twelve months immediately before the event giving rise to the claim, or fifty United States dollars (US$50).

These limitations apply to the fullest extent permitted by law and do not exclude liability that cannot lawfully be excluded, such as liability for fraud, or for death or personal injury caused by negligence. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

13. Indemnity

You agree to indemnify, defend and hold harmless Listawok and its officers, employees and contractors from and against any claim, demand, proceeding, loss, liability, damage, cost or expense, including reasonable legal fees, arising out of or relating to: your content or listings; your use of the Service; your breach of these terms; your violation of any law or of any connected platform's policies; or your infringement of the rights of any third party. We will notify you of any such claim and may participate in its defence with counsel of our choosing.

14. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access, with or without notice where circumstances reasonably require, if you breach these terms, if your use creates a security, legal or compliance risk, if it places our access to a connected platform's API at risk, if payment is not received, or if we discontinue the Service.

On termination your right to use the Service ends immediately. Your data is deleted as described in our Privacy Policy and Data Deletion pages. Sections that by their nature should survive termination — including sections 8, 9, 11, 12, 13, 15 and 16 — will survive.

15. Governing law and disputes

These terms and any dispute arising out of or relating to them or the Service are governed by the laws of the Islamic Republic of Pakistan, without regard to its conflict-of-laws rules. The courts of Lahore, Pakistan have exclusive jurisdiction, and both parties submit to that jurisdiction. Nothing in this section deprives a consumer of the protection of mandatory laws or courts of their country of residence where such rights cannot be waived by agreement.

Before starting any formal proceeding, you agree to contact us at support@listawok.com and to attempt in good faith to resolve the dispute informally for at least 30 days. Any claim must be brought within one year after it arises, to the extent permitted by law.

16. General

• Entire agreement. These terms, together with the Privacy Policy and Data Deletion pages and any plan terms shown in the application, are the entire agreement between you and us and supersede any prior agreement on the same subject.
• Severability. If a provision is held unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions stay in full force.
• No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
• Assignment. You may not assign these terms without our written consent. We may assign them in connection with a merger, acquisition, financing, reorganization or sale of assets.
• Force majeure. Neither party is liable for a failure or delay caused by events beyond its reasonable control.
• No agency. These terms do not create a partnership, joint venture, employment or agency relationship.
• Notices. We may give notice by email to the address on your account or by posting in the application. Notices to us go to support@listawok.com.
• Third-party beneficiaries. There are no third-party beneficiaries to these terms.

17. Changes to these terms

We may update these terms from time to time. We will revise the "Last updated" date above, and where changes are material we will give notice by email or in the application before they take effect. Continuing to use the Service after the effective date constitutes acceptance. If you do not accept an update, stop using the Service and close your account before the effective date.
